Acceptance of Terms

By engaging drczSTUDIO for any service — whether through email, social media, or any other communication channel — you ("Client") agree to be bound by these Terms of Service. Please read them carefully before proceeding. If you do not agree to these terms, do not engage drczSTUDIO's services.

These Terms apply to all services provided by drczSTUDIO, including Brand Identity, UI/UX Design, Web Development, and Website Maintenance.

Services

drczSTUDIO offers the following professional creative services:

• Brand Identity — Naming strategy, logo design, visual identity systems, brand guidelines, art direction, typography, and print/digital materials.
• UI/UX Design — Wireframing, interactive prototyping, UI design, design systems, competitive research, UX testing, and developer handoff.
• Web Development — Website development, CMS setup, SEO optimization, performance tuning, smooth interactions, and design implementation.
• Maintenance — Ongoing website maintenance, content updates, performance monitoring, security updates, and long-term technical support.

The specific scope of services for each project is defined in a written proposal or statement of work agreed upon by both parties prior to commencement.

Project Scope & Proposals

Every project begins with a scoping phase. drczSTUDIO will provide a written proposal outlining the scope of work, deliverables, timeline, and pricing. Any services not explicitly mentioned in the approved proposal are considered out of scope and may be quoted separately.

Changes to the agreed scope mid-project — commonly referred to as scope creep — will require a revised proposal and may affect the project timeline and total cost. drczSTUDIO will communicate any such changes in writing before additional work is undertaken.

Payments & Fees

The following payment terms apply to all fixed-scope projects unless otherwise agreed in writing:

• A non-refundable deposit of 50% of the total project fee is required before work begins.
• The remaining 50% is due upon project completion, prior to the delivery of final files and assets.
• For ongoing Maintenance services, fees are billed monthly in advance.
• Invoices are payable within 7 calendar days of issuance unless otherwise agreed in writing.
• Late payments may result in a pause of all active work until the outstanding balance is settled in full.
• All prices are quoted in the currency stated on the invoice. drczSTUDIO is not responsible for currency conversion fees or third-party bank charges.

Revisions & Changes

Each project includes a defined number of revision rounds as specified in the proposal. The following distinctions apply:

• Minor revisions — adjustments within the agreed scope and direction — are included within the allocated revision rounds.
• Major revisions — significant changes to concept, creative direction, or project scope — are billed at the applicable hourly rate.

Revisions requested after the final approval of a deliverable will be treated as new work and quoted accordingly. All revision requests must be submitted in written form and consolidated into a single round of feedback per revision cycle.

Intellectual Property & Ownership

All preliminary concepts, drafts, explorations, and rejected designs remain the intellectual property of drczSTUDIO throughout the project and thereafter.

Upon receipt of full and final payment, the Client is granted full ownership of the agreed final deliverables as defined in the proposal. This transfer of ownership does not apply to any third-party resources (stock assets, licensed typefaces, etc.) which remain subject to their respective license agreements.

drczSTUDIO retains the right to display completed work as part of its portfolio, case studies, and promotional materials, unless the Client requests confidentiality in writing prior to project commencement.

The Client warrants that all materials, content, and assets provided for use in the project — including text, images, and existing logos — are owned by the Client or used with proper authorization. drczSTUDIO assumes no liability for intellectual property infringement arising from Client-provided materials.

Client Responsibilities

A successful collaboration requires active participation from the Client. The Client agrees to:

• Provide all required content, assets, feedback, and approvals in a timely and complete manner.
• Respond to communications within 5 business days. Delays in Client response may result in project timeline extensions without liability to drczSTUDIO.
• Designate a single point of contact for the project to avoid conflicting or contradictory feedback.
• Ensure that all information and materials provided are accurate, complete, and do not infringe upon any third-party rights.

Delays caused by the Client's failure to deliver materials or approvals on time are not the responsibility of drczSTUDIO and may affect both the project timeline and final delivery date.

Confidentiality

Both parties agree to treat as confidential any proprietary, sensitive, or non-public information shared during the course of the project. drczSTUDIO will not disclose confidential Client information to third parties without prior written consent, except as required by applicable law.

This obligation does not apply to information that is publicly available, already known to drczSTUDIO prior to engagement, or independently developed without reference to the Client's confidential information.

Warranties & Representations

drczSTUDIO warrants that:

• Services will be performed with reasonable skill, care, and professionalism, in accordance with industry standards.
• Final deliverables, to the best of drczSTUDIO's knowledge, will not infringe upon any third-party intellectual property rights.

drczSTUDIO does not warrant that:

• Deliverables will achieve specific business outcomes, sales targets, conversion rates, or search engine rankings.
• Web development deliverables will be entirely free from defects after delivery. Post-delivery support and bug fixes may be arranged separately under a Maintenance agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, drczSTUDIO's total liability to the Client for any claim arising from or related to the services shall not exceed the total fees paid by the Client for the specific project in question.

drczSTUDIO is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, loss of business opportunities, loss of data, or business interruption, even if drczSTUDIO has been advised of the possibility of such damages.

Termination

Either party may terminate the agreement by providing written notice. The following conditions apply:

• Client termination: The initial deposit is non-refundable. Any work completed beyond the deposit value will be invoiced proportionally based on the work delivered at the time of termination.
• drczSTUDIO termination due to Client breach: drczSTUDIO termination due to Client breach: Any outstanding balance for work completed is immediately due and payable.

Upon termination, drczSTUDIO will deliver all completed work and materials to the Client, provided all outstanding payments have been settled in full.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the services provided by drczSTUDIO shall be subject to the exclusive jurisdiction of the competent courts of Romania.

Amendments

drczSTUDIO reserves the right to update or modify these Terms of Service at any time. Clients will be notified of material changes via email or through a notice on the website. Continued engagement with drczSTUDIO's services following such notification constitutes acceptance of the revised terms.
